—In an action to compel specific performance of a shareholders’ agreement providing for the sale of shares of a closely held corporation, the plaintiffs appeal, as limited by their brief, from so much of an order of the Supreme Court, Nassau County (Becker, J.), dated May 4, 1994, as denied their motion for summary judgment and granted those branches of the defendant’s cross motion which were for summary judgment dismissing the complaint and for leave to serve an amended answer containing a counterclaim for an accounting.
*795Ordered that the order is affirmed insofar as appealed from, with costs.
