Appeal from Henry District Court. — -How. W. S. Withrow, Judge. Action in equity- to enjoin the transfer of a certain negotiable promissory note and for its cancellation. There was a hearing on the merits, and a decree, from which the plaintiff appeals. — Reversed.

In May, 1891, the plaintiff, a resident of this state, entered into a partnership- with one R. B. Gaut, of Houston, Texas, for the purpose of carrying on a real estate and loan business at that place. As a part of the transaction, the plaintiff purchased one-half of the business' of Gaut which he had established at Houston, and was *662then carrying on, including alleged rights in contracts for the purchase of real estate, and agreed to pay therefor the sum of two thousand five hundred dollars.
