I. BACKGROUND

Plaintiff JP Morgan Chase Bank, N.A. (“JP Morgan”) originally filed this action in New York Supreme Court, Bronx County (the “State Court”), on April 1, 2009, seeking to recover $23 million outstanding from a $50 million promissory note (the “Promissory Note”) from defendants Louis J.K.J.
