MEMORANDUM OPINION AND ORDER
KANE, District Judge.
Plaintiff Power Motive Corporation brings suit for damages against Mannesman Demag Corporation alleging breach of a distributorship agreement between the parties. Specifically, Power alleges that Demag wrongfully 1) terminated the par ties’ agreement (Counts 1 through 6), 2) failed to repurchase Power’s inventory upon termination (Counts 7 through 9), and 3) failed to support Power’s sales efforts and by-passed Power with direct sales, (Counts 10 through 13).
