MEMORANDUM OPINION

This declaratory judgment action was filed in the Circuit Court of Polk County, Arkansas, on March 29, 1982, under the provisions of Ark.Stat.Ann. § 34-2501 et seq. In the complaint filed, it is alleged that the corporate plaintiff, Capehart-Creager Enterprises, Inc., is an Arkansas corporation with its principal place of business in Mena, Polk County, Arkansas, and that the individual plaintiffs are citizens and residents of that county.
