This is a complaint for alleged unlawful securities transactions under the Securities Acts of 1933 and 1934 and for alleged anti-trust violations under the Clayton and Sherman Acts. Plaintiff, Beefy Trail, Inc. (hereinafter “Beefy Trail”), a Florida corporation, alleges in the first count of the complaint that on June 13, 1968, Hugh McCarroll and Beefy King International, Inc., a Florida corporation (hereinafter “Beefy King, Florida”), entered into an option agreement for the purchase of the Beefy King restaurant and franchise located at 4868 South Orange…
