The New York State Teamsters Conference Pension and Retirement Fund (“Teamsters Fund”) sued in the district court to compel the Pension Benefit Guaranty Corporation (“PBGC”), a government corporation charged with various administrative responsibilities under the Employee Retirement Income Security Act of 1974 (“ERISA” or “the Act”), 29 U.S.C. § 1001 et seq., to intervene and disapprove a 1973 merger agreement between the Teamsters Fund and Brewery Workers Pension Fund (“Brewery Fund”).
