Plaintiff Jack Lerner brings this action derivatively on behalf of EA Industries, Inc. (“EA”) pursuant to Section 16(b) of the Securities Exchange Act of 1934 (the “Exchange Act”), 15 U.S.C. § 78p(b), seeking the disgorgement of profits realized by defendant Millenco, L.P. (“Milleneo”) from certain purchases and sales of EA equity securities. Defendant moves to dismiss pursuant to Fed.
