I. INTRODUCTION

This action arises out of an agreement under which the plaintiff, Bryan Corporation (“Bryan”), agreed to purchase the pharmaceutical ingredient, Tobramycin Sulfate (“TS”), from the defendant, ChemWerth, Inc. (“ChemWerth”).
