BRIGHT, Circuit Judge.

Myron Harris, who holds 1,000 shares of common stock of American Investment Company (AIC) which he purchased on August 4, 1969, through a public stock exchange, brings this action individually and on behalf of the class of all AIC shareholders similarly situated. He names as defendants AIC, certain of its officers and directors, and the accounting firm of Haskins & Sells, and he alleges the following wrongdoing: a) Counts I and II (against all defendants): Immediately before and continuing after 1969 the defendants published false and misleading statements in violation…
