Salus Corporation (Salus) and United Pacific Insurance Company (United Pacific)1 appeal the refusal of the district court to stay or dismiss an action brought against Salus by Maxum Foundations, Inc. (Ma-xum), and all parties appeal a finding by the district court that they reached an enforceable agreement to settle the claims involved in this proceeding.2 Salus, a general contractor, challenges the district court’s ruling that an arbitration agreement was not incorporated into the contract between Salus and Maxum, a subcontractor.
