MEMORANDUM

CAFFREY, Chief Judge.

This is a civil action brought by Harold Brown and Ronald Brown, as general partners of New England Realty Associates (NERA), a Massachusetts limited partnership against Kelly & Picerne, Inc. (K & P), a corporation organized under the laws of Rhode Island which has a principal place of business in Cranston, Rhode Island. K & P does business in the Commonwealth of Massachusetts. The diversity jurisdiction of this Court is invoked by plaintiff pursuant to 28 U.S.C. § 1332. The amount in controversy is $50,000. The matter is presently before the Court on…
