CUDAHY, Circuit Judge.
This case involves the enforceability of a security interest under Section 9-203(1) of the Uniform Commercial Code, Ill.Rev.Stat. ch. 26, § 9-203(1) (1981), and under Section 160 of the Delaware Corporation Law, Del. Code Ann. tit. 8, § 160 (1978). The appel-lees, Charles W. Leigh and Ervin F. Dusek, assert a lien upon the proceeds of the sale of collateral of the bankrupt, Reliable Manufacturing Corporation (“Reliable”).
