In March, 1939, George E. Meagher, one of the defendants herein, a professional promoter and operator of cemeteries, conceived the plan of establishing a cemetery in Paramus, Bergen County, New Jersey. In connection therewith he caused his counsel, Messrs. Heine Heine, to organize a land company under the general corporation law of this state, known as the Memorial Development Company, which is also a defendant herein.
