MEMORANDUM

LIMBAUGH, District Judge.

Plaintiff Farmers & Merchants Insurance Company (“Farmers”) filed a one count complaint against defendants seeking declaratory judgment on an insurance policy. The Court exercised diversity jurisdiction over this action pursuant to 28 U.S.C. § 1332. The parties agreed to sub*891mit this case on briefs. The Court, having considered the pleadings, deposition testimony of witnesses, and documents admitted into evidence hereby makes the following findings of fact and conclusions of law as required by Fed.R.Civ.P. 52.
