MEMORANDUM-DECISION AND ORDER

MUNSON, Chief Judge.

This declaratory judgment action brought pursuant to 28 U.S.C. § 2201 (1982) in essence is a conflict between two insurance companies over which of two outstanding insurance policies afforded primary coverage of an accident involving a tractor-truck and trailer transporting goods in interstate commerce. Jurisdiction of this court is predicated upon diversity of citizenship. 28 U.S.C. § 1332 (1982). Plaintiffs Transport Insurance Company (“Transport”) and Truck One, Inc.
