OPINION

This action is before the Court on plaintiffs and defendants’ motions for a preliminary injunction. On April 11, 1984, the plaintiff, Energy Ventures, Inc. (“Ventures”), filed a complaint against The Appalachian Company (“Appalachian”) seeking declaratory and injunctive relief for violations of Sections 13(d), 14(d) and 14(e) of the Securities and Exchange Act of 1934, 15 U.S.C. § 78n in connection with Appalachian’s acquisition of stock of Ventures.
