ORDER CONFIRMING GOOD FAITH SETTLEMENT

I. Introduction
At issue is the Motion for Order Confirming Good Faith Settlement filed by plaintiff, Federal Deposit Insurance Corporation, as Manager of the FSLIC Resolution Fund (“FDIC”). FDIC subsequently filed a supplemental brief. Defendants Gelder-mann, Inc., UMIC, Inc., Charles Denny, and Arthur Wallace filed briefs in opposition.
