SATZ, Judge.

Plaintiff, Schnuck Markets, Inc., (Schnucks) brought this action for declaratory relief against Transamerica Insurance Company (Transamerica) and Mission Insurance Company (Mission), seeking a declaration of Schnucks’ rights under three policies of liability insurance. Each policy covered a different period of time. These policies were issued by Transamerica, as the primary insurer, to Schnucks. Mission issued an “umbrella” policy, providing excess coverage to Schnucks. The parties agree the coverage in Mission’s policy is dependent upon the coverage of the underlying Transamerica…
