I. INTRODUCTION

Thomas G. Chiodetti and Karen A. McDonald (the “Debtors” or the “Plaintiffs”) commenced the above-captioned adversary proceeding on April 27,1993 by filing a three count complaint against First Lake Corporation, a/k/a Diversified Financial Systems, Inc.
