This matter is before the court on plaintiff’s motion to dismiss Counts II and III of defendant’s counterclaims, and defendant’s motion to join an additional party. This suit involves the two sole partners of Ryle-mead Development Company, L.P., a Kansas limited partnership. Plaintiff NAL II, LTD. (“NAL II”), the limited partner, brought this action seeking an accounting from the defendant, dissolution of the partnership, and a rescission of a letter of authority granted to defendant.
