On April 7, 2000, after an abbreviated period of negotiations, Peter Camplin sold the Sea Dog Brewing Company, a financially distressed restaurant chain, to Joseph Wortley. 1 Soon after closing the deal, Wortley and Camplin began to disagree about the terms of the sale, the nature of the company’s assets and liabilities, and the operation of the restaurants.
