MEMORANDUM OPINION

BLOCH, District Judge.

Presently before the Court is defendants’ Rule 12(b) motion to dismiss plaintiffs’ amended complaint. For the reasons set forth below, the Court will grant defendants’ motion in part and deny it in part.

I. Background
