MEMORANDUM AND ORDER

HOLSCHUH, District Judge.

Plaintiffs Roy and Robert Huffer seek declaratory and injunctive relief stemming from Defendants’ imposition of a civil penalty on Plaintiffs for breach of fiduciary duty as co-trustees of a pension plan and profit sharing plan. Pursuant to the Administrative ■ Procedure Act (“APA”), 5 U.S.C. §§ 701-706, Plaintiffs seek judicial review of Defendants’ decision to impose the civil penalty and denial of their petition to waive or reduce the penalty.
