Daniel S. DeCarlo appeals from the judgment of the United States District Court for the Southern District of New York (Kaplan, J.) of January 22, 2001, denying plaintiffs motion to remand to state court; granting defendant’s motion for summary judgment; denying plaintiffs cross-motion for summary judgment and *27denying defendant’s counterclaim for damages. For the reasons given below, we affirm.
