Hawker Beeeheraft Corporation (“Hawker”), one of the Debtors in the above-captioned jointly administered bankruptcy cases, and Pilatus Aircraft Ltd. (“Pilatus”) are parties to a Second Amended and Restated Definitive Agreement, dated Oct. 18, 2004 (‘Agreement ”), which relates to Hawker’s use of Pilatus’s intellectual property (“IP”) in the manufacture, sale and support of certain aircraft.1 Pila-tus has moved to compel the Debtors to assume or reject the…
