INTRODUCTION

This action arises from a dispute regarding a grant of stock options under an employment agreement between the plaintiff Mark Alford (“Alford”) and the defendant Superspeed Software, Inc. (“Superspeed”). Alford contends that Superspeed has breached the agreement by refusing to issue stock to him after his termination; he seeks money damages in an amount based on a proportionate share of what he alleges to have been the value of the company at that time. Superspeed concedes that Alford was entitled to stock, but denies that he is entitled to money damages.…
