BARTELS, District Judge.

This is a diversity action instituted by the plaintiff to recover from the officers and shareholders of Waxman Construction Corp. the sum of $1,188,310.72 (minus unearned finance charges) plus interest. This amount represents the deficiency due under conditional sale contracts signed by Harry Waxman as president and Sydney W. Wax-man as secretary of the Waxman Construction Corp., pursuant to which that corporation purchased certain bowling equipment from the plaintiff.
