Morrissey, Jr., a shareholder in County Tower Corp., brought this action individually and on behalf of the corporation for money damages and to secure in-junctive relief voiding the results of a special meeting of shareholders at which amendments to County Tower’s articles of incorporation and by-laws were adopted.
