Plaintiffs-appellants appeal from a judgment of the United States District Court for the Southern District of New York (William H. Pauley, III, District Judge), dismissing plaintiffs’ securities class action complaint pursuant to Fed.R.Civ.P. 12(b)(6). Plaintiffs’ claims arise out of a May 1999 initial public offering (“IPO”) for shares of ILife.com, Inc. (“ILife”),1 an internet start-up company.
