In this bankruptcy action, assets of a debtor company were sold to a buyer. The buyer retained many of the debtor’s employees, who were covered by health insurance policies provided by United Healthcare, the appellee. As part of an effort to recover premium payments, the liquidating trustee—appellant here—challenges the assignment of contracts governing those health insurance policies.
