Plaintiff is a foreign membership corporation, organized under the laws of the State of Colorado in the year 1904 for the purpose of maintaining a tuberculosis home and hospital in that State. In or about April, 1928, plaintiff filed in the office of the Secretary of State a statement and designation, provided for by section 15 of the General Corporation Law, which had theretofore been approved by the State Board of Charities and by a justice of the Supreme Court, and on April 21, 1928, the Secretary of State issued to the plaintiff a certificate of authority to do business in this State.…
