RULING ON MOTION TO DISMISS SECOND AMENDED COMPLAINT
NEVAS, District Judge.
On December 2, 1991, the court dismissed all five counts of this uncertified class action brought by twenty-one shareholders (“the plaintiffs”) against the Travelers Corporation (“Travelers”), Edward H. Budd (“Budd”), Thomas O. Thorsen (“Thor-sen”), and Richard Shima (“Shima”) (collectively,. “the defendants”), for violations of federal securities laws and Connecticut common law. See Ferber v.
