TUTTLE, Senior Circuit Judge:
This case is an appeal from a jury verdict in the United States District Court for the Middle District of Florida. The jury returned a special verdict finding the defendants, Hubert T. Houston and Paine, Web-ber, Jackson and Curtis, Inc. (“Paine Web-ber”), jointly liable for violations of Section 12(2) of the Securities Act of 1933 (15 U.S.C. § 777 (2)), Section 10(b) of the Securities Exchange Act of 1934 (15 U.S.C. § 78j(b)) and Rule 10b-5 of the Securities Exchange Commission, and Section 517.-301(l)(b) of the Florida Securities Act (Fla. Stat.Ann. § 517.301).…
