MEMORANDUM OPINION AND ORDER

TURK, Chief Judge.

This case is before the Court on appeal by Goldberg, Inc., from a determination by the Bankruptcy Court that Goldberg’s security interest in certain appliances in possession of the bankrupt debtor, County Green Limited Partnership, is subordinate to the perfected security interest of cross-appellant First and Merchants National Bank. The sole issue in this appeal pertains to the respective priorities of Goldberg, Inc. and First and Merchants in the appliances.
