FACTUAL AND PROCEDURAL BACKGROUND

Dr. Harvey Komet is a board-certified otolaryngologist. As part of his medical practice, which is a professional association, Komet operated Hearing Solutions. Komet’s son, David, advised him to interview Glenda Graves to supervise a recently acquired medical provider contract for Hearing Solutions.

Komet, Graves, and David met on two separate occasions. At their first meeting, Graves and Komet discussed the terms of her position. Before the second meeting, Graves drafted an employment agreement, which reflected the terms…
