I. INTRODUCTION

This case concerns the requirements of a Purchase and Sale Agreement (“PSA”) entered into between Chang Su-0 Lin, Hong Lien Lin, and Hong Yao Lin (the “Lins”) and Toll Brothers, Inc. (“Toll”). Exs.
