This proceeding, commenced February 28, 1980, seeks an involuntary judicial dissolution of T. J. Ronan Paint Corp. (Ronan) pursuant to section 1104 of the Business Corporation Law upon the following grounds: (1) there exists internal dissension between two groups of equal shareholders which has so frustrated the corporation that dissolution would be beneficial to the stockholders; (2) the directors are so divided in the management of the affairs of the corporation that the votes needed for corporate action cannot be obtained; and (3) the shareholders are so divided that…
