MEMORANDUM OPINION
PAUL G. GARDEPHE, District Judge:
The Securities and Exchange Commission filed this action on May 5, 2009. Pursuant to the Complaint’s Eighth Claim for Relief, which names Relief Defendant The Reserve Primary Fund (“Primary Fund”), the Commission seeks an order that inter alia (1) provides for a pro rata distribution of the remaining assets of the Primary Fund; and (2) enjoins all claims against (a) Primary Fund assets, including shareholder claims against the Primary Fund, and (b) any of the Defendants or their officers, directors, trustees, representatives, agents or…
