On the 26th day of March, 1860, the defendant, McPherson, entered into a contract with the Tebo and Neosho Railroad Company for the performance of certain work 'in the construction of its road-bed in Cooper county, Missouri, in which contract the defendant, Barnes, subsequently became interested with him as a partner.
