MEMORANDUM OF DECISION

I. INTRODUCTION
The matter before the Court is Creditor Framingham Cooperative Bank’s (the “Bank”) Motion for Relief from Automatic Stay (the “Motion”) and the Chapter 7 Trustee’s Opposition to the Motion by Framingham Cooperative Bank for Relief from the Automatic Stay. The Bank seeks relief from stay to setoff a debt of K.D. Builders, Inc., (the “Debtor”) against the balance of a bank account (the “Account”), which the Chapter 7 trustee (the “Trustee”) contends is a special deposit account.
