Plaintiff Xerox State & Local Solutions, Inc.’s (“Xerox”)1 amended complaint seeks indemnification from defendants Xchang-*359ing Solutions (USA), Inc. (“Xchanging USA”)2 and Xchanging Solutions Limited (“Xchanging Ltd.”)3 (collectively “Xchang-ing”) for losses resulting from Xchanging’s breach of representations and warranties.
Xchanging moves for summary judgment to dismiss Xerox’s claim as time barred. For the reasons that follow, the motion is granted.
