Appeal by the plaintiff, Frank Earle Parham, as assignee,, etc., from a judgment of the Supreme Court in favor of. the defendants, entered in. the office of the clerk of the county of Westchester on the 25th day of February, 1909, upon the decision of the court, rendered after a trial at the Westchester Special Term, dismissing the complaint upon the merits.

Miller, J.:

The record and briefs in this case are very voluminous, but I think that a single question is decisive of _ the appeal, and shall undertake merely to state sucli salient facts as are necessary to the solution of that question.

On the ,18th of September, 1894, Samuel Webber Parker was indebted to the American Exchange ¡National Bank in the sum of $217,000.
