Defendants Buchanan Ingersoll PC. and Kevin Silverang have filed preliminary objections to the complaint of plaintiff Red Bell Brewing Company. For the reasons set forth in this opinion, the court is issuing a contemporaneous order essentially overruling the objections.1

BACKGROUND

Red Bell is a Philadelphia microbrewery that was formed by several investors, including James R. Bell, on June 29, 1993. In November 1997, Red Bell began discussions with GS Capital L.P. regarding a possible joint venture involving GSC, Red Bell and an employee *131stock ownership plan to be established…
