KERR, District Judge.

This case is before us on appeal from the United States District Court for the Western District of Oklahoma. Appellant Robert Sutton (Sutton) was the controlling officer of BPM, Ltd. (BPM), a Tulsa crude oil reselling company. BPM was under investigation by a federal grand jury in the Western District of Oklahoma. In the course of its investigation, the grand jury subpoenaed certain documents from Charles N. Wooton (Wooton), an attorney who represented BPM.
