MEMORANDUM OPINION
COOPER, District Judge.
This matter comes before the Court on appeal of the Order of the United States Bankruptcy Court for the District of New Jersey (“the bankruptcy court”) dated November 21, 2002 (“11-21-02 bankruptcy order”) pursuant to 11 U.S.C. § 363, approving the sale of real property from debtor-appellee WDH Howell, LLC (“WDH”) to appellee Solomon Dwek (“Dwek”) free and clear of all liens, claims, and encumbrances.
