MEMORANDUM ORDER
JED S. RAKOFF, District Judge.
Plaintiffs, participants in the Consolidated Edison Pension and Benefits Plan (the “Plan”), bring suit against the Plan and Consolidated Edison of New York, alleging that defendants, in breach of the fiduciary-duties and disclosure requirements imposed upon them by the Employee Retirement Income Security Act of 1974 as amended (“ERISA”), 29 U.S.C. § 1001 et seq., reduced plaintiffs’ retirement benefits. Defendants now move for summary judgment.
