THIS MATTER is before the Court upon Defendants’ Memorandum Of Law In Opposition To Plaintiffs Motion For Preliminary Injunction (DE 20), which the Court construes as a Motion To Dismiss pursuant to Fed.R.Civ.P. 12(b)(6), oral argument at the preliminary injunction hearing held on May 24, 2011, and the supple*1281mental briefing filed by the Parties.
