This opinion is with respect to the motions to dismiss filed by defendant Bank of America, N.A. (“Bank”) (Doc. #2) and defendants Crown-Simplimatic, Inc. et al. 1 (“Debtors,” and with Bank, “Defendants”) (Doc. # 7). Adcor Industries, Inc.’s (“Ad-cor”) adversary complaint asserts eight separate counts arising out of Debtors’ post petition sale of assets pursuant to an Asset Purchase Agreement (“APA”).
