This suit was initiated by McClellan & Burck, Inc. (“M & B”), which was formerly a corporation in the business of planning and effecting mergers of business corporations,1 against Transitron Electronic Corporation (“Transitron”) for violating alleged obligations to M & B arising out of an agreement between the defendant and Thermo King Corporation (“Thermo King”) pertaining to the acquisition of Thermo King by the defendant.
